Terms of Service
1. Provider and scope
TubeMakers is provided by Reconnector Consulting Services LLC, 750 E Cowboy Way, Suite 3, LaBelle, FL 33935 (“TubeMakers”, “we”). These terms govern registration, access and use of the website tubemakers.net and the web application at https://app.tubemakers.net.
2. Service
TubeMakers provides analytics, research and planning features for YouTube creators and their authorised teams. Scope, conditions, availability and support follow from the respective agreement with the customer.
Pilot phase. TubeMakers is in a closed pilot phase. Participation is by invitation only; there is no free trial. For pilot customers:
- Pilot customers get access to the features at their current stage of development. Scope, interfaces and workflows may change without prior notice; individual features may be limited, suspended or removed.
- The conditions of pilot participation are agreed individually. Pilot customers provide feedback on usage, errors and suggestions where possible; we may use this feedback for further development.
- Either party may end pilot participation at any time with 14 days’ notice. We may end the pilot phase altogether or transfer it into a regular offer; we will announce the applicable price list at least 30 days in advance. Continued use after the pilot phase requires acceptance of the price list.
- After the end of pilot participation, access and data are handled according to section 10.
3. YouTube terms
When using the YouTube features, the YouTube Terms of Service and the applicable Google and YouTube policies apply in addition. How TubeMakers processes YouTube data is described in the Privacy Policy; the Google Privacy Policy applies as well.
4. Eligibility
TubeMakers is intended exclusively for business users, i.e. persons and companies acting in the course of their trade, business or profession, and their employees and agents. Consumers and children are excluded from use. By registering, the user confirms to act as a business user.
Users may connect or manage only channels they own or are expressly authorised to manage. Credentials must not be shared or misused. The user is responsible for all actions taken through their account.
5. TubeMakers analyses
Values labelled as TubeMakers analysis are calculated independently by TubeMakers and do not originate as such from YouTube. They are decision aids, not a guarantee of success.
6. Write actions
Before any write action on YouTube (such as uploading, publishing, changing visibility, playlists or metadata) TubeMakers displays the target channel and consequences and requires the user’s explicit confirmation. In doing so the user certifies that the content complies with the YouTube Community Guidelines and remains responsible for it.
7. Prohibited use
Prohibited are violations of law, circumvention of usage quotas, data retrieval outside the approved interfaces, sharing of credentials, manipulation of the platform and processing of third-party authorised data without permission.
8. Availability
We strive for continuous operation, announce planned maintenance in advance where possible and fix outages promptly. No specific availability is guaranteed – in particular during the pilot phase. Maintenance, interface changes, usage quotas, outages at Google/YouTube or other third-party providers and events beyond our control may temporarily limit or interrupt features; no claims against us arise from this.
9. Fees and term
Fees follow from the individual agreement with the customer; after the pilot phase the published TubeMakers price list applies. All prices are exclusive of any applicable taxes and duties.
Contracts run for an indefinite period and are billed monthly. Either party may terminate at any time with effect from the end of the current billing month; termination may be given in text form (e.g. by e-mail). Fees already paid for the current month are not refunded. The right to terminate for cause without notice remains unaffected, in particular for violations of sections 4 or 7.
10. Termination and data
Access to the application ends with the end of the contract. Stored data is deleted according to the Privacy Policy and the page Delete your data: YouTube data authorised via Google within seven calendar days, remaining account and workspace data within 30 days. Recovery after these periods is not possible. The user is responsible for exporting any results, drafts and analyses they need before the end of the contract. Deletion at TubeMakers does not change any content on YouTube.
11. Warranty, liability and governing law
Warranty. During the pilot phase TubeMakers is provided “as is” and at its current stage of development. We do not warrant that the application will be uninterrupted, error-free or fit for a particular purpose. TubeMakers analyses, suggestions and drafts are decision aids; no warranty is given for reach, views, revenue or any other results on YouTube.
User responsibility. The user is solely responsible for their content, their data, their channel, the review and approval of every publication, and compliance with YouTube’s policies and applicable law. The user indemnifies us against third-party claims arising from a breach of these obligations.
Limitation of liability. To the extent permitted by law, we are not liable for indirect or consequential damages, lost profits, loss of data, suspensions or measures by YouTube or Google, or damages arising from the use of results of the application. Our total liability arising out of or in connection with this contract is limited to the amount paid by the user to us in the twelve months preceding the event giving rise to the claim, but in no event more than – and no less than – 100 US dollars. Liability for intent and any liability that cannot be excluded under mandatory law remains unaffected.
Governing law. These terms are governed by the laws of the State of Florida, United States of America, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law rules. Mandatory provisions of the law at the user’s seat that cannot be derogated from by agreement remain unaffected.
Changes. We may change these terms with effect for the future; we notify material changes by e-mail at least 30 days before they take effect. If the user does not object before the effective date or continues to use the application afterwards, the changed terms are deemed accepted; we point this out in the notification.
